Terms and Conditions of Use

1.1 These Terms and Conditions ("Terms") govern your access to and use of the StayCoCo platform, including the website at www.staycoco.com and any associated mobile applications (collectively, the "Platform"), operated by Staycoco Tech Pte Ltd (UEN: 202541479C) ("StayCoCo", "we", "our", or "us").

1.2 By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Platform.

1.3 StayCoCo reserves the right to modify these Terms at any time. We will notify you of material changes via the Platform or by email. Your continued use of the Platform after such notification constitutes your acceptance of the revised Terms.

In these Terms, unless the context otherwise requires:

• "Account" means the user account created for you on the Platform.
• "Property Manager" means the coliving operator, landlord, or property management company that engages StayCoCo to manage rental payments and tenancy-related services on their behalf.
• "Tenant" or "User" or "you" means any individual who accesses or uses the Platform, including tenants of properties managed through the Platform.
• "Services" means the rental payment processing, account management, communication, and other property management services provided through the Platform.

3.1 Your account may be created by your Property Manager on your behalf using the contact information (such as your mobile phone number) provided to StayCoCo by your Property Manager for the purpose of facilitating rental payment services.

3.2 Upon first sign-in, you will be required to review and accept these Terms and our Privacy Policy before you can access the Platform.

3.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

3.4 You agree to provide accurate, current, and complete information and to update such information as necessary.

3.5 StayCoCo reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or in breach of these Terms.

4.1 The Platform enables you to:

1. (a) make rental payments to your Property Manager;
2. (b) view your payment history and outstanding balances;
3. (c) receive payment reminders and notifications; and
4. (d) communicate with your Property Manager regarding tenancy matters.

4.2 StayCoCo acts as a technology platform facilitating payment collection on behalf of your Property Manager. StayCoCo is not a party to your tenancy agreement and is not responsible for any disputes between you and your Property Manager.

4.3 You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not use the Platform in any manner that could damage, disable, overburden, or impair the Platform.

5.1 Rental payments made through the Platform are processed on behalf of your Property Manager. All payment amounts, due dates, and late fees (if any) are determined by your Property Manager in accordance with your tenancy agreement.

5.2 StayCoCo may use third-party payment processors to facilitate transactions. By making a payment through the Platform, you agree to the terms and conditions of such third-party payment processors.

5.3 StayCoCo does not guarantee the availability of any specific payment method and reserves the right to modify available payment options at any time.

5.4 Any refunds or payment disputes shall be resolved directly with your Property Manager. StayCoCo may assist in facilitating communication but is not liable for any payment disputes.

6.1 All content, trademarks, logos, software, and materials on the Platform are the property of StayCoCo or its licensors and are protected by applicable intellectual property laws.

6.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purposes. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without prior written consent from StayCoCo.

7.1 The Platform is provided on an "as is" and "as available" basis. StayCoCo makes no warranties, express or implied, regarding the Platform's availability, reliability, accuracy, or fitness for a particular purpose.

7.2 To the maximum extent permitted by law, StayCoCo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform.

7.3 StayCoCo's total aggregate liability to you for any claims arising out of or relating to these Terms or the Platform shall not exceed the total amount of fees paid by you through the Platform in the twelve (12) months preceding the claim.

8.1 You agree to indemnify, defend, and hold harmless StayCoCo, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

9.1 StayCoCo may suspend or terminate your access to the Platform at any time, with or without cause, upon reasonable notice.

9.2 You may request the closure of your account by contacting StayCoCo. Account closure is subject to the settlement of any outstanding payments.

9.3 Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall survive.

10.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.

10.2 Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by the courts of Singapore.

11.1 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11.2 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and StayCoCo regarding your use of the Platform.

11.3 Waiver. The failure of StayCoCo to exercise or enforce any right under these Terms shall not constitute a waiver of such right.
